1. Introduction

These Terms & Conditions ("Terms") govern access to and use of the SEROQ Capital website, trading evaluation programs, simulated trading accounts, SEROQ Performance Accounts, Trader Passport, certificates, rewards and related services.

SEROQ Capital is a trading name intended to be operated by [SEROQ Technologies FZCO], a company to be incorporated in Dubai, United Arab Emirates ("SEROQ", "we", "us" or "our"). Company registration details will be inserted before commercial launch.

By creating an account, purchasing an Evaluation, accessing a SEROQ service or otherwise using the SEROQ platform, you confirm that you have read, understood and agreed to these Terms.

These Terms incorporate by reference the Trading Rules & Evaluation Policy, Payout & Rewards Policy, Refund & Cancellation Policy, Simulated Trading & Risk Disclosure, Privacy Policy, Eligibility, KYC & Restricted Use Policy, Cookie Policy and Complaints Policy.

2. Definitions

  • “Evaluation” means a paid simulated trading assessment offered by SEROQ.
  • “Evaluation Account” means the simulated trading account used to complete an Evaluation.
  • “Performance Account” means a simulated SEROQ account made available to an eligible participant after successful completion of an Evaluation.
  • “Simulated Trading” means trading activity conducted using notional account balances where displayed profits and losses do not represent customer-owned trading capital.
  • “Trader” or “Participant” means an individual who registers with or uses SEROQ.
  • “Payout” or “Performance-Based Reward” means a payment approved and funded by SEROQ in accordance with the Payout & Rewards Policy.
  • “Trader Passport” means SEROQ’s digital record of a participant’s SEROQ status, achievements, certificates and program history.

3. Eligibility

You must be at least 18 years old to purchase or participate in a SEROQ program.

  • You have legal capacity to enter into these Terms.
  • All information provided to SEROQ is truthful, current and complete.
  • You are acting on your own behalf.
  • Your participation is lawful in your country or jurisdiction.
  • You are not using SEROQ for fraud, money laundering, sanctions evasion or other unlawful activity.

SEROQ may request evidence of identity, age, address, payment ownership or other information reasonably required for verification and compliance.

4. Nature of the SEROQ Service

SEROQ provides simulated trading evaluations and performance-based trader programs. Unless SEROQ expressly states otherwise in writing:

  • SEROQ does not accept client funds for investment.
  • SEROQ does not operate customer brokerage accounts through the Evaluation program.
  • SEROQ does not provide investment advice or portfolio management through the Evaluation program.
  • SEROQ does not execute live-market trades on behalf of participants through the Evaluation program.
  • Displayed account balances are not deposits belonging to the participant.
  • Simulated trading profits are not actual market profits earned for the participant.

A reference to a $50,000, $100,000 or $150,000 account refers to the notional simulated account size used for the relevant SEROQ program.

5. No Investment Relationship

Participation in SEROQ does not create an investment advisory, brokerage, fiduciary, employment, partnership or agency relationship, nor ownership of trading capital. Nothing made available through SEROQ should be interpreted as personalized investment advice, a recommendation to buy or sell a financial instrument or a guarantee of trading success.

6. Evaluation Purchases

A participant may purchase an Evaluation through the SEROQ website or another approved SEROQ sales channel. The price, account size and applicable Evaluation conditions shown at checkout form part of the purchase.

SEROQ currently intends to offer $50,000, $100,000 and $150,000 simulated Evaluations. Program prices may change from time to time. A future price change does not alter the price of an Evaluation already validly purchased.

6.1 Founding 100 Launch Benefit

The first 100 valid SEROQ waitlist registrations are intended to receive a one-time 15% discount on the participant's first eligible $50,000, $100,000 or $150,000 SEROQ Challenge. Eligibility is determined by valid registration order and may be withdrawn where a registration is fraudulent, duplicated, invalid or otherwise ineligible.

The personal Founding 100 code is issued with the participant's trader release invitation, is intended to remain valid for seven (7) calendar days from issue, may be used once by the eligible trader and may not be combined with another promotion. The benefit has no cash value and may not be transferred or sold.

7. Payment

Payment must be made using a payment method accepted by SEROQ. You confirm that you are authorized to use the selected payment method, that information supplied is accurate and that the transaction is not fraudulent or unauthorized.

SEROQ may use third-party payment processors. Payment information may therefore be processed by third parties in accordance with their own terms and privacy practices.

8. Access to Purchased Services

After successful payment and any required checks, SEROQ will provide access to the purchased Evaluation. Access may include trading platform credentials, simulated account credentials, Trader Passport access, dashboard access and relevant program rules.

You are responsible for verifying that you can access the service and for promptly reporting genuine technical access problems.

9. Refunds

Evaluation purchases are generally final and non-refundable once access to the purchased digital Evaluation has been provided or activated, except where a refund is required by applicable law, a duplicate charge has occurred, SEROQ is unable to provide the purchased service due to an error attributable to SEROQ, or another exception under the Refund & Cancellation Policy applies.

A participant is not entitled to a refund merely because the Evaluation was failed, a trading rule was breached, the participant changed their mind after receiving access, stopped trading or did not achieve a payout.

10. Evaluation Rules

Each participant must comply with the Trading Rules & Evaluation Policy. The applicable Evaluation may include a Profit Target, Maximum Drawdown, Maximum Position Size, permitted and prohibited trading practices, automation restrictions, weekend holding rules, account-sharing rules and inactivity requirements.

A participant does not pass an Evaluation merely because the displayed account reaches a particular profit level if another applicable rule has been breached.

11. Performance Accounts

A participant who successfully completes an Evaluation may become eligible for a SEROQ Performance Account. A Performance Account remains a simulated trading account.

Access is subject to successful Evaluation completion, account review, compliance checks, any required identity verification and acceptance of applicable SEROQ terms.

At launch, a SEROQ Verified Trader may maintain up to three (3) active Performance Accounts. The active-account limit may increase with SEROQ payout progression as described in Section 27 and the Payout & Rewards Policy. Each Performance Account remains independently subject to its own trading rules, drawdown calculations, payout eligibility and account status.

12. Performance-Based Rewards

Eligible participants may receive Performance-Based Rewards calculated by reference to qualifying results achieved in the simulated environment. Such payments are funded by SEROQ and are not withdrawals from an actual trading account owned by the participant.

Eligibility, frequency, minimum amounts, maximum amounts, profit split and review procedures are governed by the Payout & Rewards Policy.

13. Current Payout Framework

Subject to the Payout & Rewards Policy, SEROQ’s current intended launch structure includes a 90% Trader / 10% SEROQ profit split and a $100 minimum payout.

Following first payout eligibility, subsequent payout requests may generally be submitted once every 7 calendar days, subject to continued compliance.

The participant must also complete at least 5 qualifying Trading Days and satisfy all other applicable requirements.

15. Payout Approval

Displayed simulated performance does not automatically create an unconditional right to payment. Before approving a payout, SEROQ may review account ownership, KYC information, trading history, rule compliance, prohibited software, copy-trading patterns, account-sharing indicators, payment information and suspected fraud or manipulation.

SEROQ will not reject a valid payout merely because a participant has performed successfully.

16. Identity Verification and KYC

SEROQ may require identity verification during registration, after Evaluation completion, before issuing a Performance Account, before approving a payout or where fraud or compliance concerns arise. Failure to complete required verification may prevent account progression or payout processing.

17. One Person, One Identity

SEROQ accounts are personal. You may not create accounts using another person's identity, permit another person to complete your Evaluation, trade on another participant's account, sell or transfer an account or conceal beneficial ownership.

A trader may maintain up to five (5) active Evaluation Accounts at the same time, provided each Evaluation has been separately purchased and remains independently subject to its own rules, Profit Target, Maximum Drawdown and pass/fail result. Performance Account limits are governed separately by the trader's SEROQ status and payout progression.

18. Copy Trading

Copy trading is permitted only between eligible SEROQ accounts beneficially owned and controlled by the same verified trader.

During the Evaluation stage, a trader may link up to five (5) of their own active Evaluation Accounts in one copy-trading structure consisting of one (1) master account and up to four (4) slave accounts. Each Evaluation must be separately purchased and remains independently subject to all applicable rules and results.

For SEROQ Performance Accounts, a copy-trading structure may also contain a maximum of five (5) linked accounts in total (one master plus up to four slaves), but the number that may actually be linked is always subject to the trader's current active Performance Account limit.

Copying trades from or to third-party accounts, unrelated traders, external signal providers, account-management services or arrangements designed to circumvent SEROQ rules is prohibited.

19. Prohibited Automated Trading

Unless specifically approved by SEROQ in writing, participants may not use Expert Advisors, automated trading bots, automated execution algorithms, high-frequency trading systems, latency arbitrage tools or software intended to exploit pricing or execution errors.

20. Weekend, Overnight and News Trading

  • Overnight holding is permitted.
  • Weekend holding is prohibited.
  • News trading is permitted unless a specific program states otherwise.

Participants remain responsible for volatility, simulated slippage and any effect market conditions may have on account performance.

21. Inactivity

An Evaluation or Performance Account may be deemed inactive if no trade is opened for 30 consecutive calendar days. SEROQ may close an inactive account. A payout validly approved before account closure remains subject to normal payout processing.

22. Third-Party Platforms and Infrastructure

SEROQ may rely on third-party providers for simulated account infrastructure, market-data feeds, order-entry interfaces, trading platforms, account monitoring, payments and identity verification. SEROQ does not guarantee uninterrupted third-party operation.

Temporary outages, market-data errors, maintenance, connection failures or third-party incidents do not automatically create a right to compensation. Where a verified error attributable to SEROQ materially affects a participant, SEROQ may take reasonable corrective action.

23. Account Security

You are responsible for maintaining the confidentiality of account credentials, email access, trading platform credentials and passwords. You must notify SEROQ promptly if you suspect unauthorized access. SEROQ will never ask you to send passwords or full payment-card credentials by email.

24. Fraud, Abuse and Investigations

SEROQ may investigate conduct reasonably indicating payment fraud, identity fraud, unauthorized chargebacks, platform manipulation, account sharing, prohibited automation, coordinated trading abuse, pricing-feed exploitation, falsified documentation or attempted circumvention of SEROQ rules. SEROQ may temporarily restrict access while a genuine investigation is conducted.

25. Chargebacks and Payment Disputes

Participants should contact SEROQ first where they believe a charge was incorrect. Fraudulent or abusive chargebacks may result in account suspension or termination. Nothing in these Terms limits mandatory rights available under applicable law or legitimate card-scheme dispute procedures.

26. Trader Passport, Certificates and Achievements

SEROQ may provide a Trader Passport containing account status, Evaluation history, payout achievements, SEROQ Verified Trader status, certificates and program milestones.

SEROQ certificates and statuses are internal program achievements. They are not government credentials, financial-services licences, regulatory approvals or professional financial qualifications.

27. SEROQ Verified Trader and Elite Club

A trader may obtain SEROQ Verified Trader status after successfully completing a qualifying Evaluation and receiving at least one successful SEROQ payout.

Any higher limit offered to an Elite Club trader is discretionary, must be expressly approved by SEROQ and does not increase the maximum size of a single copy-trading structure, which remains capped at five linked accounts.

A participant reaching $100,000 in cumulative successful SEROQ payouts may qualify for the SEROQ Elite Club. Verified Trader and Elite Club status are internal SEROQ program recognitions and do not constitute regulatory credentials.

28. Intellectual Property

The SEROQ name, logo, trademarks, website, software, Trader Passport, certificate designs, graphics, written material and proprietary systems are owned by or licensed to SEROQ. Participants may not reproduce, modify, distribute or commercially exploit SEROQ intellectual property without authorization.

A participant may share a genuine SEROQ certificate issued to that participant for personal purposes, provided it is not altered in a misleading manner.

29. Misrepresentation

Participants must not falsely claim that SEROQ guarantees trading income, provides the participant with personally owned investment capital, that a SEROQ certificate is a regulatory licence, that the participant is employed by SEROQ or that SEROQ endorses investment services offered by the participant.

30. Marketing and Testimonials

Where a participant voluntarily provides a testimonial, review, payout image or other marketing consent, SEROQ may use that material in accordance with the consent provided. SEROQ will not publicly disclose private personal information merely because a participant has received a payout or certificate.

31. Taxes

Participants are responsible for determining their own tax obligations relating to SEROQ payouts or rewards. SEROQ does not provide individual tax advice and may provide information to authorities where legally required.

32. Privacy and Electronic Communications

Personal data is processed in accordance with the SEROQ Privacy Policy and applicable data-protection requirements.

You agree that SEROQ may communicate electronically regarding purchases, account access, program updates, payouts, verification, security, legal notices and customer support using the contact details associated with your account.

33. Suspension and Termination

SEROQ may temporarily suspend access where reasonably necessary to investigate security concerns, fraud, identity concerns, serious rule violations, technical abuse or legal/compliance requirements.

SEROQ may terminate a participant’s account for material breach of these Terms or applicable program rules. Termination does not permit SEROQ to disregard a payout already validly approved solely because the account relationship subsequently ended.

34. Availability and No Guarantee of Success

SEROQ does not guarantee uninterrupted availability of its website, platforms or third-party services and may conduct maintenance, upgrades or emergency work.

Trading performance is inherently uncertain. Past results, simulated performance, certificates, payouts or Verified Trader status do not guarantee future performance. SEROQ does not guarantee that any participant will pass an Evaluation, qualify for a Performance Account, receive a payout or achieve any specified level of trading success.

35. Limitation of Liability

To the maximum extent permitted by applicable law, SEROQ will not be liable for indirect, incidental, consequential or speculative losses arising solely from participation in the simulated trading environment. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law. Mandatory consumer rights remain unaffected.

36. Participant Responsibility

Participants are responsible for understanding the program rules, managing their simulated trading activity, maintaining account security, ensuring their participation is lawful, providing accurate information and reviewing account status before trading.

37. Force Majeure

SEROQ will not be responsible for failure or delay caused by circumstances reasonably outside its control, including major telecommunications failures, internet outages, infrastructure failures, governmental actions, sanctions, war, natural disasters, widespread market-data disruption or failures of essential third-party providers. This does not excuse obligations already due where performance remains reasonably possible.

38. Complaints

Participants may submit complaints through SEROQ customer support at support@seroqcapital.com. The Complaints Policy describes the review and escalation process.

39. Amendments

SEROQ may update these Terms where reasonably necessary due to changes in law, licensing requirements, program changes, technology-provider requirements, fraud prevention or operational changes. Material changes affecting an existing purchased program will be handled in accordance with applicable law and the agreement governing that purchase.

40. Severability, No Waiver and Assignment

If a provision is held invalid or unenforceable, the remaining provisions continue to the extent legally permitted. Failure by SEROQ to enforce a provision on one occasion does not constitute a permanent waiver.

Participants may not transfer their rights or accounts under these Terms. SEROQ may transfer its rights and obligations as part of a lawful restructuring, merger, sale or transfer of business, subject to applicable law.

41. Entire Agreement

These Terms together with the policies incorporated by reference constitute the agreement governing participation in SEROQ programs, unless a separate written agreement expressly states otherwise.

42. Governing Law and Jurisdiction

This section is intentionally provisional pending final incorporation and licensing.

The final Terms will specify the applicable law of the United Arab Emirates and/or Emirate of Dubai and the competent courts or dispute forum following confirmation of SEROQ Technologies’ final legal entity, registered office and IFZA licence structure. This section must be finalized before SEROQ begins accepting commercial Evaluation purchases.
